Do you have any virtual drive software installed? Have you tried running setup.exe directly from the cd?

LZ32.dll is a file needed by Windows to run the setup and apparently is missing from the system directory for some reason. You'll have to repair it using your XP installation CD (if you're using XP that is). I'll give you the steps needed to fix this problem but if you're unsure about what it is you need to do, it may be best to ask someone else to help you. Here's what I would do (for Windows XP):
Locate the lz32.dll in your c:\windows\system32 directory. If it's not there, that explains why it won't work. If it is, the file might be damaged. Now find the file "LZ32.DL_" on your Windows XP CD (should be in the I386 directory) and use a program like Winrar or 7-Zip to extract the lz32.dll from that file. Overwrite the old lz32.dll with the new one, and see if the setup.exe works.

Thankyoo very much  I'm installign it right now. Just one question, any ideas as to why this would be missing?? (LZ32.dll) Regards!

There's a number of possibilities. It could have been replaced with another version by a program you installed, a virus or spyware could be the cause or your hard drive may have gotten a few errors. To check your drive for errors: double-click my computer and right-click on the drive letter and select properties > Tools > Check Now. You can select both options (better), but then you will have to reboot. The process takes a good amount of time, but when it's finished your hard drive should be free from errors. After that you can also defragment the drive (Tools > Defragmentation).
